Corporate advisory fees are charged upon the signing of the corporate advisory mandate for the preparation
of the small offers document and co-ordination of the legal due diligence. The stages of payments depend on
negotiations between the company and the corporate advisor.
Generally, the Corporate Advisor's annual retainer fee ranges from S$20,000 to S$30,000 per year. Please
note that this fee is not determined by OTC. Instead it is as agreed between OTC prospect and the Corporate Advisor.
Legal fees are charged upon the signing of the legal due diligence mandate for the due diligence work
of the company as part of the small offers document preparation. The stages of payments depend on negotiations between
the company and the legal firm. The cost of legal due diligence depend on the complexity of the company structure as well as
the pricing policy of the legal firm used.
Application fees are charged upon submission of required documents for OTC admission application,
inclusive of the administrative fess in assisting the company to prepare application documents for the OTC Committee approval.
Admission fees are charged upon the admission of shares for quotation on OTC, inclusive of the administrative fees in quoting the company on OTC.
Quotation fees are charged on an annual basis for assisting the company to comply with OTC rules, compilation of half yearly
company research reports and administering matters involved in releasing company information to OTC registered investors.
This fee will be increased to SGD15,000 per year if the company chooses to dispense with the Corporate Advisor upon successful quotation.
Reason being resources will then have to be allocated by OTC Capital Management to undertake surveillances of the OTC
Company vis-à-vis OTC Rules.
Placement fees are charged based on the percentage (1 to 5 percent) of the amount raised by the placement agent
for fund raising activities. Fees are paid upon quotation on OTC.
Director fees# This appointment will be required if there is investment by both Phillip Capital and Spring Seeds Capital Pte Ltd.
